Standard Terms of Service & General Trading Conditions

Article 1 (From Enquiry to Purchase Order Formation)

Browsing this website or submitting an online RFQ enquiry does not constitute a legally binding purchase contract or commercial order. A binding agreement is executed only when both parties have formally verified and confirmed—via signed written instrument or electronic agreement—the target goods, order volumes, service scope, agency fees, payment schedule, delivery timeline, and destination.

Article 2 (Specification Definition & Prototype Sample Approval)

Product engineering criteria—including material grades, dimensional tolerances, Pantone colors, mechanical/electrical functions, packaging structures, and regulatory labeling—must be mutually validated via engineering drawings, specification sheets, or physical prototypes. Checkpoints requiring mandatory sign-off prior to mass production are defined upfront alongside designated authorized signers.

Responsibility for mandatory regulatory compliance in destination markets (e.g., Japan’s PMD Act, Food Sanitation Act, Electrical Appliance and Material Safety Act / PSE), laboratory certifications, and statutory import licenses must be explicitly agreed per product category. Physical prototype procurement or routine cosmetic QC performed by GAMU does NOT constitute certification of statutory legal compliance or authorization for commercial distribution.

Article 3 (Fee Structure & Payment Milestones)

Applicable line items—including product costs, agency service fees, detailed QC inspection fees, custom packaging costs, international freight, and statutory customs duties/taxes—as well as the billing currency (CNY or JPY) are set forth in the confirmed quotation. Website rate tables represent benchmark guides; final binding amounts are governed exclusively by individual agreements.

Operational procurement, production management, and shipping arrangements proceed strictly upon receipt of verified payments according to agreed payment milestones (e.g., initial production deposit). Any scope expansions or ancillary work (custom packaging, specialized laboratory trials) emerging during execution will be pre-quoted and require written client approval before commencement.

Article 4 (Order Revisions, Cancellations & Schedule Adjustments)

If the buyer requests modifications to specifications, order volumes, or delivery schedules following PO placement, GAMU will promptly evaluate feasibility, committed raw materials, and factory capacity, providing an adjustment proposal and cost impact statement. In the event of order cancellation, all non-recoverable raw material expenditures, completed labor hours, and contractual cancellation penalties incurred up to the notice date shall be reasonably settled.

Production schedules and delivery timelines are subject to prototype review milestones, raw material availability, factory capacity, customs examinations, extreme weather, and carrier operations. Should unexpected delay risks arise, GAMU will immediately report the situation and propose actionable mitigation strategies, such as expedited air cargo re-routing, subject to client consent.

Article 5 (Inspection Scope & Limitation of Liability)

Inspection methodology (100% full inspection vs. AQL statistical sampling), checkpoints, defect acceptance thresholds, and report formatting must be agreed in writing prior to execution. Routine cosmetic and piece count audits are legally distinct from destructive laboratory trials, chemical analysis, or statutory certifications. Delivered inspection reports validate strictly the physical sample units and parameters actually examined.

Article 6 (Packaging, Global Shipping & Claim Procedures)

Export packaging standards, shipping modes, cargo marine/transit insurance coverage, customs filing jurisdiction, cost allocation, and Incoterms (DAP / DDP) are finalized on a per-order basis. International freight lead times remain subject to airline/ocean carrier space allocation, customs clearance inspections, force majeure, and weather conditions.

Upon cargo arrival at the delivery destination, if damage, quantity discrepancy, or specification non-conformity is detected, the buyer must notify GAMU in writing within 7 business days of receipt, submitting PO references, affected piece counts, outer packaging condition photos, defective item close-ups, and waybill (AWB/BOL) evidence. GAMU will promptly investigate liability and execute good-faith remediation, including expedited replenishment, factory rework, or invoice credit.

Article 7 (Intellectual Property, Client Materials & Confidentiality)

The client warrants and represents that all design artworks, brand trademarks, technical CAD drawings, and reference assets provided to GAMU are lawfully owned or duly licensed. Ownership title and permitted usage rights over bespoke injection moulds, technical CAD files, and print plates shall be governed by separate bilateral project contracts.

Client project documentation will be disclosed to partner manufacturers and subcontractors strictly on a need-to-know basis to compile quotations and execute manufacturing. If an explicit Non-Disclosure Agreement (NDA) is required, please execute it with GAMU prior to sharing sensitive materials. GAMU will never publicly feature client brand names, project details, or finished product imagery in case studies without express prior written authorization.

Article 8 (Dispute Resolution, Governing Law & Jurisdiction)

In the event of ambiguities or disagreements regarding the interpretation of these terms or individual project executions, both parties agree to examine confirmed quotations, PO records, and signed change logs to pursue amicable resolution in accordance with principles of good faith.
